PHOTO PERMISSION AGREEMENT

This Photo Permission Agreement (the “Agreement”) is made by and between Run Wild My Child, LLC (“RWMC”) and you (“Photographer”), effective as of the date of photo submission.

The parties agree as follows:

1, License. By submitting photo(s) to RWMC, Photographer grants to RWMC and its respective affiliates and assigns a non-exclusive, perpetual, royalty-free license to publish, disseminate, distribute, post, and reproduce any photo(s) submitted (each a “Photo”) on the RWMC website (www.runwildmychild.com), in the Run Wild My Child magazine, on RWMC’s social media channels, and in any other RWMC media.

Photographer warrants that she/he has the right to grant permission for the uses of the photo as specified above, that the Photo does not infringe the rights of any third parties, and if a model release is required, Photographer warrants that a model release is available for the Photo.

2. Ownership of Photos. RWMC agrees that subject to the rights and licenses granted herein, Photographer is, and will remain, the sole and exclusive owner of all right, title, and interest, throughout the world, to all Photos and any copies of the Photos. Except as expressly provided in this Agreement, Photographer reserves all rights and licenses not expressly granted in this Agreement. RWMC will use a standard credit to attribute the photo to the photographer, where applicable.

Photographer is solely responsible for ensuring that the Photo does not conflict with any copyright or publication rights already granted to other publishers, and RWMC is not responsible for any infringement of external publication rights.

3. Editing. Photographer agrees that RWMC may edit, crop, alter, or otherwise adjust the Photo to fit the needs of the placement of the Photo online or in print. RWMC will use its judgment and best discretion to preserve the integrity and quality of Photographer’s work and Photo.

4. Limitations of Liability. RWMC provides photographers with a place to have their photos featured online and in print. Photographer hereby agree to release and hold harmless RWMC, from and against any claims, damages or liability arising from or related to the use of the photographs and film, including but not limited to any reuse, distortion, blurring, alteration, optical illusion or use in composite form, either intentionally or otherwise, that may occur or be produced during the production of the finished product. Except for any remedies that cannot be excluded or limited by law, RWMC, will not be liable under this agreement to Photographer or the other party, any affiliate or another third person for any indirect, incidental, consequential, special, reliance, or punitive damages or lost or imputed profits, lost data or cost of procurement of substitute goods or services.

5. Assignment. RWMC may assign this Agreement, in whole or in part, to any affiliate or successor.

6. Jurisdiction. This Agreement shall be governed by and interpreted in accordance with the laws of State Missouri of the United States and international copyright laws and treaties.

7. Entire Agreement. This Agreement represents and constitutes the entire agreement between the parties, and supersede and merge all prior negotiations, agreements, and understandings, oral or written, with respect to any and all matters between the parties.
